Azur Plus Corporate conditions

These conditions are subject both to the Azur Plus General Conditions and to the Aigle Azur airline’s General Conditions of Carriage.

1. Definitions & terminology

 Unless the context precisely indicates otherwise, the terms set out below shall have the following meanings in these General Conditions:

-Member: this is the actual physical person who is a member of the Azur Plus Corporate Programme, the holder of the membership card and the person to whom a Programme membership number has been allocated.

- Administrator: a physical person employed by the Customer who will be appointed by the Customer as the manager of the Azur Plus Corporate account. In this respect, s/he shall draw up a list of Employees who are taking part in the Programme and may make requests for Rewards.

- Aigle Azur: Aigle Azur Transports Aériens, a Société par Actions Simplifiée (simplified joint stock company) with capital of 11,233,800 €uros, entered upon the Commercial and Companies Register of Bobigny, number 309 755 387, address: CS 90001, 91781 PARAY-VIEILLE-POSTE Cedex.

- Azur Plus Corporate Card or Card: this is the Programme membership card issued and delivered by the Airline after acceptance of the membership application. It breaks down into a number of forms, according to the number of Qualifying Miles earned over a single calendar year (according to the Azur Plus scales as set out in the Programme documentation) by each Employee:

-Sky Corporate Card: this is the first level of membership. It simply allows Miles to be doubled, starting from the first journey if it is made within the first six months, along with the collection of Qualifying Miles allowing members to move up to a higher level and obtain Rewards.

- Space Corporate Cards : this is the intermediate level. The Employee is entitled to all of the privileges pertaining to this level after collecting 30,000 Qualifying Miles during a calendar year. The services and benefits pertaining to this level are described on our website at azurplus.fr

- Infinite Corporate Cards: this is the highest level. The Employee is entitled to all of the privileges pertaining to this level after collecting 50,000 Qualifying Miles during a calendar year. The services and benefits to this level are described on our website at azurplus.fr

- Customers: any company, administrative body and public or private body which has made an application for membership accepted by the Azur Plus Corporate Programme.

- Employees: those of the Customer’s employees who will hold the Corporate cards relating to the contract. They must be members of the Azur Plus Corporate Programme in order to hold a Corporate card. Any employees who are not members of the Azur Plus Corporate Programme and whom the Customer wishes to add to the list of Employees must make their membership applications online, at www.azurplus.fr.

- Azur Plus General Conditions: this refers to the General Conditions governing the Azur Plus Programme, of which the Azur Plus Corporate Programme is a supplement.

- General Conditions of Carriage: this refers to the Aigle Azur airline’s General Conditions of Carriage, which, unless there is a provision to the contrary, are applicable to any transportation which may take place as part of the Azur Plus Corporate Programme, and which are available on the aigle-azur.com website.

- Miles: the unit of calculation used for the purposes of the Azur Plus Corporate Programme. Miles will be credited to the Customer’s Corporate account for each journey made by its Employees on Aigle Azur regulard flights, at a Rate Accepted by the Programme as set out in the Azur Plus Corporate documentation, depending upon the actual journey made, the booking class and the class of transportation.

- Qualifying Miles: any Miles collected on Aigle Azur flights which can be used to move up the Azur Plus Corporate Card levels, at the same time collecting Miles and obtaining Rewards. Qualifying Miles are the Miles earned exclusively on Aigle Azur flights in what are referred to as “qualifying classes”; one-off bonuses and promotions do not qualify.

- Non-Qualifying Miles: any Miles collected on Aigle Azur flights which can be used to obtain Rewards but which do not allow Miles to be collected for the purposes of moving up to a higher card level.

- Partners: any airline or service provider bound by an agreement with Aigle Azur and the use of whose services by the Employees allows these latter to collect Miles.

- Non-air partners: a partner other than an airline whose services allow Reward Miles to be collected according to the current conditions of the non-airline partner, and which are available from this latter.

- Reward: a reward obtained in exchange for Miles earned by travelling on Aigle Azur flights at the Rates Accepted by the Programme or by using Partners’ services.

- Air Reward: this is a Reward available from the Aigle Azur airline or its partners, and essentially it means Reward tickets, Upgrade Rewards and Excess Baggage Rewards.

- Azur Plus Corporate Programme or Programme: the Aigle Azur airline’s loyalty programme for companies, administrative bodies and public or private bodies.

- Azur Plus department: the Aigle Azur department in charge of managing the Azur Plus Corporate Programme.

- Rate Accepted by the Programme: this refers to all rates with the exception of the group rates, Reward tickets, favour tickets and escort tickets.

 2. Object

 The object of the Azur Plus Corporate Programme, managed by the Aigle Azur airline, is to allocate a credit of Miles to its Customers based upon a pre-established scale and in accordance with the conditions and limitations set out below, according to the flights taken by Employees with Aigle Azur, or their consumption with partners defined by Aigle Azur.

These General Conditions and any amendments which might be made thereto shall be deemed to have been accepted by all Customers and their Employees as designated when joining the Azur Plus Corporate Programme.

 3. Membership

3.1      Registration may take place only on the azurplus.fr website and upon acceptance of the application after checks on adherence to the conditions of membership.

3.2       Any companies, administrative bodies, organisations, and public or private bodies may join. All registrations must take place online, on the Azur Plus website.

3.3       Any company wishing to join the Azur Plus Corporate Programme must fill in a membership application. The registration supposes that the Azur Plus General Conditions and the Aigle Azur General Conditions of Carriage have been accepted by both the Customer and its Employees.

3.4.      The Customer appoints an Administrator (at least one) for the Programme from among its employees on the membership form. This person manages the Corporate account on behalf of his or her company. The Customer undertakes to inform Aigle Azur in writing (by letter or e-mail) of any change to the name of the Administrator.

3.5.      The Administrator designates the company’s Employees (at least one, other than the Administrator) who will hold the Azur Plus Corporate Cards relating to the contract. These latter must be members of the Azur Plus Programme in order to hold an Azur Plus Corporate Card. Any employees who are not members of Azur Plus and whom the Customer wishes to add to the list of Employees must make their membership applications online, at azurplus.fr

3.6       Azur Plus Corporate Cards are issued personally to named individuals. They are non-transferable and each Card may only be used by the person whose name is shown on it.

3.7       Aigle Azur reserves the right to reject any membership application which fails to meet the conditions of membership of the Azur Plus Corporate Programme and to terminate any account the information for which is incorrect of false.

3.8       Any Customer whose registration fulfils the criteria for taking part in the Programme, and who has been accepted, will be allocated a Membership number and personal identification code allowing access to Corporate information via the azurplus.fr website.

3.9       The Customer guarantees the veracity and accuracy of all of the information sent to Aigle Azur, amongst other things, on the membership form, and will be responsible for any details which are incorrect, incomplete or obsolete.

Notice of any alterations and changes of name or address must be given in writing, either by sending a letter to the Azur Plus department - CS 90001, 91781 PARAY-VIEILLE-POSTE Cedex.

The Azur Plus department reserves the right to ask for any supporting documents which may be necessary in order to make these changes (e.g. marriage certificate).

3.10     Groups of persons are not authorised to take part in the Azur Plus Corporate Programme.

Employees and executives of airlines, travel agents, tour operators or any other partner are not eligible for the benefits of the Azur Plus Corporate Programme.

Escorts carrying out deportations may not join the Azur Plus Corporate Programme

4. Use of the cards

 4.1      In the event of the loss, theft or cancellation of an Azur Plus Corporate Card, the holder of the card or the account Administrator appointed by the Customer must notify Aigle Azur immediately in writing, mentioning the card number.

4.2       The Administrator of the Programme may make a written request to Aigle Azur for additional cards to be issued to the company’s employees; this request shall be equivalent to authorisation.

4.3.      If the holder of an Azur Plus Corporate Card should cease to be employed by the Customer, the Account Administrator as appointed by the Customer must then inform Aigle Azur immediately in writing and immediately return the Card to Aigle Azur.

4.4.      Space and Infinite Corporate cards: the allocation or maintaining of a Space or Infinite Corporate card is subject to the number of Qualifying Miles earned over the course of a single calendar year (according to the Azur Plus scales as provided) by each Employee. The Infinite and Space Corporate cards are valid until 31/03/N+2, year N being the year in which the card is obtained.

5. Collection of Miles and conditions

5.1       Miles may only be collected on journeys made with effect from the date on which the Customer’s membership is recorded by the Azur Plus Department.

5.2       The Corporate account will be credited with a percentage of between 10 and 30% - according to the Employee’s booking class – of the Miles collected by the Employees designated by the Customer prior to the journey in question, provided that notice of the number of the Azur Plus Corporate Card has been given in advance by the card holder, when booking or checking in baggage.

5.3       Employees, on the other hand, shall have any Miles collected on journeys made on Aigle Azur flights credited to their own personal Azur Plus accounts, under the conditions described in the Programme. Miles can be collected exclusively on regular Aigle Azur flights or those of any partner airline or any other partner expressly designated by Aigle Azur. If new partners should take part, Employees will be notified of the terms and conditions for the collection of Miles.

The collection of Miles may be reduced or excluded for certain Aigle Azur booking classes or price categories.

5.4       Miles may not be transferred, assigned or sold; nor may they be combined with those from the account of another Employee, and they may not be converted into cash. As membership is individual, a number of companies, including subsidiaries, may not collect Miles in the same account.

5.5       If the Customer is also a member of another loyalty programme in which the Aigle Azur airline or one of its future partners is taking part, the Customer's account may not be credited either for a single flight or for a single service provided in both programmes at the same time (unless there is a provision to the contrary of which the customer is informed).

5.6       Although Miles are automatically credited to the Customer’s and Employees’ accounts after each flight, the Customer and the Employee must check their accounts on azurplus.fr website and retain any documents necessary in order to adjust Miles.

If, for any reason whatsoever, the Miles should fail to appear in the account, the Administrator must send the Azur Plus department the following in writing (either by e-mail or by post): a copy of its confirmation for an e-ticket along with the original of the boarding card, within six (6) months following the journey. Once this period of time has elapsed, the Customer and the Employee may not lay claim to any upward adjustment of their Miles credits. This service is available online on our azurplus.fr website.


5.7      
 Miles earned as part of the Programme are valid for 36 months, with effect from the providing of the service which generates them. Miles acquired during year JJ/MM/NN shall expire on JJ/MM of year N+3.
Member must check the expiry date of his Miles.

5.8       The number of Miles is allocated according to the actual journey made (the distance between the airport from which the flight departs and the airport at which it arrives), the booking class and rate used.

5.9       Azur Plus reserves the right to alter the scale it uses for the collection of Miles without notice.

5.10     Azur Plus reserves the right to adjust the account of any Customer and Employee by debiting any unduly credited Miles, along with the right to credit Additional Miles when engaging in one-off promotional campaigns.

5.11     Any unused or refunded tickets and any free tickets sold at a reduced rate which is not directly or indirectly accessible to the public, and also any Reward tickets, may not be the subject of a Miles credit. In the same way, if flights are cancelled for reasons beyond the control of Aigle Azur, the Miles will not be credited to the account.

5.12     Certain promotional rates shall not grant entitlement to collect Miles; in such cases, the fact that there is no entitlement to collect Miles is stated on the azurplus.fr website.

5.13     In the event of an upgrade, the Miles will be credited both to the Customer and to the Employee on the basis of the ticket price paid rather than for the class in which the flight actually took place.

5.14     Customers can be provided with account statements in electronic formats only. The details contained on these statements are given for information only, as it may take a certain amount of time to update them.

 6. Use of Miles in the form of air and non-air Rewards

 6.1      Azur Plus Rewards consist of one or more free air tickets (the passenger remains liable for any air taxes and fuel surcharges) and/or, upgrades and/or fixed excess baggage allowances from 2 to 30 kilos and Piece Concept 23 kilos.

6.2       Aigle Azur reserves the right to alter the conditions for the obtaining of any Reward, including the number of Miles required, and to cancel any offer of a Reward without notice and with immediate effect.

6.3       Once the Customer has collected enough Miles within the Programme’s validity period, the Administrator may ask for a Reward on our azurplus.fr website, by e-mailing info@azurplus.fr or by phone 0826 092 021 (€0.15/minute) with his or her membership number and personal identification code.

The Customer must also specify that the request is being made in relation to the Corporate account and state the name of the beneficiary of the Reward, in accordance with current procedures for the issuing of Rewards. This request must be confirmed in writing. The beneficiary remains liable for all taxes (airport, fuel surcharge, security, etc.) S/he must also ensure that the Customer is in possession of any administrative documents which may be necessary in order to make the flight using the Reward ticket or upgrade, such as a visa, vaccination and insurance certificates and, more generally speaking, s/he must comply both with any specific local regulations and with the Azur Plus General Conditions and Aigle Azur's General Conditions of Carriage.

6.4       The request for the Reward ticket must be made at least eight (8) days before the date of departure desired by the Member.

6.5       Only the Administrator is authorised to make a request for a Reward.

6.6       When making the booking, the Administrator must stipulate that it involves a Reward ticket. Under no circumstances may the booking of a paid ticket be converted into a Reward ticket.

6.7       The number of Miles corresponding to the requested Reward will be debited from the Customer’s account according to the scale in effect on the date of the request. Depending upon the Reward in question, a ticket or any other similar document is issued and sent to the Customer’s physical or electronic address, subject to receipt of any taxes (airport, safety, fuel surcharge, etc.) Under no circumstances may Aigle Azur be held liable if the sending of a Reward should suffer a delay, e.g. as a result of a mistake in the address provided by the Customer, loss or destruction by the postal service or any other forwarding agent. The Reward may be issued at an Aigle Azur branch upon presentation of the Member's Card (or a copy), the Member’s identity card (or a copy), the identity card of any person who may come to take possession of the Reward if this is a third party, along with an original attestation signed by the Employee authorising the handing over of the Reward to this latter. Aigle Azur may this alter or suspend this procedure at any time.

6.8       Aigle Azur reserves the right to prohibit or limit entitlement to a Reward during specific periods.

6.9       The Customer can obtain scale of Reward tickets on azurplus.fr : the Low-Miles scale, as defined in the Azur Plus documentation.

Access to the Low-Miles scale depends on the number of seats reserved for the Programme. Aigle Azur and all of the companies which are partners in the Programme shall be the sole judges of the number of seats to be made available for this purpose; no claims made by the Customer can be accepted, even in the case of a flight which is not full. Given that the number of seats reserved for Low-Miles Rewards is limited, we advise Employees to book their places as early as possible, and stating, in addition to the identification number, that this is a Low-Miles scale Azur Plus Corporate Reward ticket.

6.10     The Reward ticket is valid for one (1) year with effect from the date of travel, unless stated otherwise by the Corporate Programme or at the time of an Azur Plus commercial operation.

6.11     After it has been issued, changes to the date of travel for the Reward ticket will be allowed provided that the ticket or the Programme remains valid, although a charge may be made for changes of this kind. Penalties will be applicable if it is not presented when the passenger boards or checks in.

6.12     No changes either to the itinerary or to the name of the beneficiary of the Reward will be accepted.

6.13     In the event of the cancellation of a Reward ticket, the Miles will be re-credited in full if the cancellation takes place more than eight days before the scheduled departure, 75% between seven and three days before the departure and 50% with effect from two days before the departure.

6.14     A Reward ticket may not under any circumstances be used for stretcher transportation, for the accompaniment of a child by a hostess, for the obtaining of a baby seat or to gain an additional seat.

6.15     Reward tickets and Upgrade Rewards may not be endorsed and may not be used on an airline other than Aigle Azur and its Partner.

6.16     An Upgrade Reward is to be understood as meaning the ability to travel in the next class up from the one which has been duly paid for, on Aigle Azur flights and subject to Azur Plus’s conditions and scales, subject both to availability and to whether the aircraft is configured with a two or three-class layout.

6.17     An Upgrade Reward can only be obtained upon presentation of a fully paid-up ticket in economy class B, H, Y , according to the various destinations, in the name of the beneficiary of the Reward.

6.18     An Upgrade Reward may not be cancelled, and any Miles debited will not be refunded.

6.19     The excess baggage allowance (from 2 to 30 kilos)/Piece Concept applies only to one-way trips, in addition to the excess allowed in the paid booking class. Only one Reward per flight may be used.

6.20     The Excess Baggage Reward/ Piece Concept may not be cancelled, and any Miles which may have been debited will not be refunded.

6.21    Once it has been issued, the Reward ticket is non-transferable and indivisible, and any Rewards may not under any circumstances either be awarded retroactively, be refunded or exchanged, be transferred, sold or converted into cash in any form whatsoever, or be replaced in the event of loss, theft, destruction or partial use.

6.22     Rewards may not be combined with one another on a single flight for a single beneficiary.

6.23     For the purposes of non-air Rewards from Azur Plus Partners, any Customer who has the required number of valid Miles may obtain a Reward chosen from the services supplied by the Partners, subject to abiding by the specific conditions and limitations as set out by the Partner in question, and including this Partner’s financial reservation guarantee conditions.

The Customer will only be able to obtain this Reward after first collecting Miles by using the services of the Partner who is supplying the desired Reward.

6.24     Any request for an Azur Plus Corporate Reward, including those involving Partners, must be sent exclusively to Azur Plus, stating the type of Reward and specifying the name(s) of the beneficiary or beneficiaries. The Administrator must first ensure that this Reward is available.

6.25     This Reward must have been booked in advance on the azurplus.fr website, specifying that this is an Azur Plus Corporate Reward.

 7. Termination

7.1       Aigle Azur reserves the right to expel any Customer and/or Employee who abuses any of the benefits allocated to him or her pursuant to the Programme, who provides any false information, who fails to abide by these General Conditions, the Azur Plus General Conditions or the Aigle Azur airline’s General Conditions of Carriage, or who has failed to collect any Miles for 24 consecutive months from the Azur Plus Corporate Programme. The contract will then be terminated without prior notice. The expelled Customer and/or Employee may also have any subsequent membership application refused.

7.2       In the event of expulsion or if the Customer should cease trading, any Miles collected shall no longer have any value.

7.3       In the event of expulsion or the closing of an account pursuant to article 7.1, any benefits acquired shall be forfeited, and the Customer and/or Employee may not lay claim to compensation of any kind whatsoever. The Azur Plus Corporate Card must be returned.

7.4       Each of the parties may terminate the contract in writing at any time. Any Miles collected by any Customer who terminates the contract shall be valid for six months after receipt of the termination request made by the Administrator by the Azur Plus department. The same applies when it is Aigle Azur which terminates the contract for any reasons other than those set out in articles 7.1 and 7.2.

7.5       These Azur Plus Corporate conditions shall remain in force even after the termination of the contract for a period of one (1) year.

 

8. Right of access to information

8.1       Aigle Azur may ask the Customer to fill in any questionnaires with a view to better fulfilling his or her expectations. The Customer shall be free to respond to these questionnaires or not.

8.2       Aigle Azur may use any data on the Customer in its possession for marketing and communication purposes, unless the Customer states otherwise. This information will be exploited exclusively by Aigle Azur and shall not be passed on to any other companies or bodies.

8.3       Any information given by the Customer for the purposes of the loyalty Programme will be subject to the French law on computers and liberties of 1978.

9. Amendment / cancellation

9.1       Aigle Azur reserves the right to cancel, amend or replace the Azur Plus Corporate Programme, to amend these General Conditions, the scales and rules used for the collection of Miles, the Reward scales or any documents describing the Azur Plus programme. Customers may be made aware of any such alterations by any means and sufficient notice will be given.

9.2       If any Customer does not accept the amendments made to the Programme, membership may be terminated pursuant to article 7.

9.3       If the Azur Plus Corporate Programme should be terminated, Aigle Azur shall make every effort to inform its Customers thereof in advance, it being hereby specified that the balance of outstanding Miles acquired at the date on which the Azur Plus Corporate Programme ends may be used within a period of no longer than three months following the end date if they allow the obtaining of Azur Plus Rewards. If the Azur Plus Corporate Programme should be cancelled, it will no longer be possible for any new Miles to be collected with effect from the date of termination of the Programme, notice of which will be given.

9.4       Aigle Azur may extend its Azur Plus Corporate Programme by incorporating partners into it. Aigle Azur shall inform its Members of the incorporation of these Partners and the conditions for these new partnerships.

9.5       All of the Rewards and benefits offered are provided subject to alteration or availability. Indeed, Aigle Azur is unable to guarantee or give any assurances that the aforementioned benefits will be available. Thus a Customer may find that there is no availability on a given flight or that the particular Reward is not available.

9.6     Aigle Azur shall make every effort to ensure the actual availability of any Rewards or benefits under the Programme which are presented as being available. In addition to this, the number of Rewards may be limited by Aigle Azur or its partners unilaterally, e.g. those relating to commercial operations. Promotional offers cannot be combined either with one another or with other benefits.

 

10. Liability

10.1     Notwithstanding these General Conditions, the Customer and its Employees are subject both to the Azur Plus General Conditions and to the Aigle Azur airline’s current General Conditions of Carriage. Furthermore, the Employee must have any travel documents which may be necessary in order to use the Reward ticket or upgrade, such as a visa, vaccination and insurance certificates and, more generally speaking, s/he must comply with any specific local regulations. Aigle Azur is unable to accept any responsibility for any damage which may be caused when a Reward is used, excluding any damage which might occur on transportation for which the carrier’s liability is governed by the Montreal Convention and European regulations, and also by Aigle Azur’s General Conditions of Carriage.

10.2     Aigle Azur shall not be liable for any damage, of any kind whatsoever, caused in the providing of services by any Partners (hotels, car hire). Any claims must be sent directly to these latter.

10.3     The Customer shall be responsible for any claim which might be made by third parties, including the tax authorities, in relation to participation in the Programme.

10.4     The Administratormust inform Azur Plus of the loss or theft of any Azur Plus Corporate Card belonging to the Administrator or to any Employees in writing. It will then be replaced within a period of no longer than four weeks. Aigle Azur is unable to accept any liability for any fraudulent use which might be made of this card.

10.5     The legislations of certain countries may impose restrictions with regard to the conditions for the application of and/or participation in the Azur Plus Corporate programme. In order to comply with these legislations, Aigle Azur has the right to apply any new legal instructions immediately and without prior notice and to alter its Programme accordingly.

10.6     All Customers shall be responsible for informing any third parties or any legal entities paying either for air tickets or for the services credited about the Miles and benefits earned with the Azur Plus Corporate programme.

 

11. Applicable law

In the event of any divergence relating to the interpretation of the General Conditions of the Programme, and of any Aigle Azur documentation which comes from a translation into a foreign language, the French version shall be deemed to be authentic. French law alone shall be applicable for the performance and interpretation of the contract and the courts of Paris shall have sole jurisdiction to settle any dispute relating to this Programme.
